Elite Terms of Service

1. Introduction and Acceptance

These Elite Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", "You") and CryptoElite Pro Limited ("Company", "We", "Us", "CryptoElite Pro"), a financial services company incorporated under the laws of England and Wales.

By accessing our platform, services, or engaging with our cryptocurrency and digital asset management services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, AML/KYC Policy, and Risk Disclaimer.

Important: These services are exclusively for professional, institutional, and high-net-worth clients. Retail clients are not permitted.

2. Client Eligibility

To access our Elite services, you must meet the following criteria:

Be at least 18 years of age (or the age of majority in your jurisdiction)
Qualify as a Professional Client or Eligible Counterparty under FCA regulations
Have minimum investible assets of £1,000,000 or equivalent
Successfully complete our Enhanced KYC/AML verification process
Not be resident in restricted jurisdictions (including but not limited to OFAC sanctioned countries)
Have legitimate source of funds and wealth documentation

Restricted Jurisdictions: Our services are not available to residents of certain jurisdictions including but not limited to: North Korea, Iran, Syria, Cuba, and other OFAC sanctioned territories.

3. Services Description

CryptoElite Pro provides the following professional services:

Portfolio Management

Discretionary and advisory management of cryptocurrency portfolios using institutional-grade custody solutions.

Trading Services

Professional execution services across multiple exchanges with advanced order types and liquidity access.

Custody Solutions

Institutional-grade cold storage with multi-signature security and insurance coverage through Lloyd's of London.

Research & Analytics

AI-powered market analysis, risk assessment tools, and comprehensive reporting services.

4. Risk Warnings and Disclaimers

CRITICAL RISK WARNING

• Cryptocurrency investments are EXTREMELY HIGH RISK
• You may lose your entire investment - values can drop to zero
• Past performance is not indicative of future results
• Markets are highly volatile and unpredictable
• Regulatory changes may affect investment value
• Technology risks include hacking, technical failures, and protocol changes

No Guarantees: We DO NOT guarantee profits, returns, or capital preservation. All investments carry substantial risk of loss.

5. Fees and Charges

Our fee structure is transparent and competitive for institutional clients:

Management Fees

Annual management fee: 0.5% - 2.0% based on assets under management and service level.

Performance Fees

Performance fee: 10% - 20% of profits above high-water mark (where applicable).

Transaction Costs

Trading fees: 0.05% - 0.25% per transaction depending on volume and asset class.

All fees are clearly disclosed in your service agreement. Additional costs may include external custody fees, network transaction fees, and third-party service charges.

6. Limitation of Liability

To the maximum extent permitted by law, CryptoElite Pro's liability is limited as follows:

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
We are not liable for indirect, consequential, or punitive damages
Force majeure events, including but not limited to market disruptions, are excluded
Third-party failures (exchanges, networks, custody providers) are not our responsibility

Insurance Coverage: We maintain professional indemnity insurance and assets custody insurance through Lloyd's of London up to £50,000,000.

7. Termination

Either party may terminate this agreement:

With 30 days written notice for convenience
Immediately for material breach or regulatory non-compliance
Immediately if you no longer meet eligibility criteria
Upon insolvency or bankruptcy of either party

Upon termination, we will liquidate positions and return assets minus applicable fees within 30 business days.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

Alternative dispute resolution may be available through the Financial Ombudsman Service for eligible complaints.

9. Data Protection and Privacy

We process your personal data in accordance with UK GDPR and our detailed Privacy Policy. Key points:

Data is processed for legitimate business purposes only
Enhanced security measures protect sensitive information
You have rights to access, correct, and delete personal data
International transfers comply with adequacy decisions and SCCs
